Legal Alert – The Corporate Transparency Act: What it Means for Your Business

In January 2021, Congress passed the Corporate Transparency Act (CTA), which introduced federal reporting obligations for countless private companies that had previously been exempt from disclosing ownership information. Regulations implementing the CTA came into effect as of January 1, 2024.

With some notable exceptions, most legal entities incorporated, organized, or registered to do business in the United States are now considered to be “reporting companies” that must disclose information relating to their owners, officers and controlling persons with the Financial Crimes Enforcement Network (FinCEN), a division of the U.S.
