New Audit Rules: Part 3 – Who Pays the Tax?
This is the third of our articles dealing with the new audit rules established for partnerships for tax years beginning after December 31, 2017. This article deals with whether, after an audit resulting in the need for additional payment to the IRS, to (a) apply the default rule of taxing the partnership during the year of the audit (the “audit year”) so that the then-current members bear the tax burden, or (b) elect to “push out” the tax to those who were partners during the year being audited (the “review year”).

Arizona Attorney General Mark Brnovich issued an opinion, dated April 6, 2018, on the sale and delivery of alcohol, and the use of websites and mobile device applications for the delivery of alcohol. This opinion changes or clarifies, depending on your point of view, the following common practices:
- Those businesses that can receive orders online need to ensure that orders are not placed or transmitted between 2:00 a.m. and 6:00 a.m. This includes retailers with off-sale privileges, direct shipment licensees, farm wineries, and craft distilleries.

Harvard Investments Spends $40M on 464-Acre Master-Planned Mesa Community
Long-term client of Gammage & Burnham, Harvard Investments, is investing more than $40 million this year into Phase I of its 464-acre Cadence at Gateway master-planned community in east Mesa.
Partner Susan Demmitt has been working with Harvard Investments on the Cadence project since 2010. Partner Tom McDonald has also worked with builders regarding the acquisition of parcels within Cadence.
Harvard Investment’s Vice President Tim Brislin recently spoke to the Phoenix Business Journal about the project. According to project plans, Cadence will include 1,600 units of single-family residential homes, 400 units of multifamily and 40 acres of retail and commercial development.
G&B Attorneys Represent California Software Company in Recent Sale
Viewpoint, the established global leader in innovative construction-specific software solutions, recently announced the acquisition of Keystyle Data Solutions (Keystyle). G&B attorney Tim Forsman represented Keystyle in the transaction which closed in early April, 2018. Tim navigated a complex sale process from start to finish, providing support for intricate issues that arose over the course of the four-month negotiation. At the time of the sale, Viewpoint had already integrated Keystyle software portal into its existing platform to enable efficient management of internal company workflow, and the companies plan to integrate further with constructions ERP and field products.
“Improving productivity for Viewpoint customers was Keystyle’s goal from the start,” said Keystyle Co-Founder Kevin Fisher.
