Our business group works with emerging companies on a variety of issues including licensing, distribution, analyzing and preparing for different funding sources and strategic partnering. We have extensive experience preparing and guiding companies through the maze of pre organizational issues to obtain private or venture capital and through their exit strategy, whether that is an initial public offering or a merger/sale. Our clients include acquirers, targets, sellers, financial advisors, institutional and private investors, private equity, venture capital, debt and mezzanine funds and the investment vehicles of pension funds and public entities We actively participate in trade groups to stay abreast of current trends affecting clients in a number of industries, frequently appear as panelists for securities, and corporate finance law seminars and have published articles in these practice areas. Drawing on the collective experience of the firm we have provided creative solutions on a variety of challenges from relocation and expansion issues to access to government agencies Clients depend upon us to: choose an optimal form of business entity; structure relationships among the equity-holders; introduce emerging companies to funding sources; have in-depth knowledge of the federal and states statutory and regulatory requirements; structure, negotiate and document the terms of private offerings; negotiate and prepare a variety of documents including contracts, non-compete and confidentiality agreements, commercial leases, and loan agreements; attend board meetings; research and prepare technology licensing agreements, and analyze, develop and supervise corporate restructurings and workouts. We also work routinely with clients on the investor side to assist in: the formation of investment funds; structure, negotiate and document seed, early, mid and late-stage investments; assist with the recapitalization or divestiture of portfolio companies; and assist with additional financing, expansion, repositioning or restructuring of portfolio companies, including mergers, acquisitions or spin-off of assets. In the public finance arena, we have acted as issuer’s counsel in significant bond transactions. Our representation has included issuances for both for-profit and not for profit issuers.
